This document is used when a Production Company and/or Producer has optioned a screenplay and must transfer “assign” the rights of a screenplay to the single purpose production company also known as the Producing Company. Both companies can be owned by the same company and/or person(s) but this agreement is necessary to ensure proper chain of title.  It outlines
the recitals,
description of the transfer,
the fee of the transfer
and other general clauses.
